Recognize pressure
Guaranteed returns, supposed inside access, a promised imminent IPO, and pressure to decide immediately deserve scrutiny. A polished website, group chat, or famous company name is not evidence that the seller has shares.
Verify people and documents
Check professionals and firms through official registration databases. Read the actual offering documents and independently verify claims. A Form D is a notice filing; it is not SEC approval, a license, or an endorsement. The SEC does not issue registration certificates.
Follow the money
Understand the legal entity receiving funds and the documented investment being purchased. Vague answers, missing documents, or instructions to keep the deal secret are warning signs. If the story cannot be verified, an urgent deadline does not fix it.

- Compare contact information with independent records.
- Save the pitch and transaction documents if reporting suspected fraud.
